By submitting this 'Strategic Partnership In Online Sales Collaboration Agreement' form, I, the authorized Supplier, hereby confirmed that I've read, understood & agreed to the Terms Of Service, stated below, and I confirmed to participate in the Strategic Partnership Of Online Sales Collaboration.

TERMS OF SERVICE (TOS) BETWEEN SV-GERALD INTERNATIONAL PTE LTD
AND STRATEGIC PARTNER [SUPPLIER]

  1. Acceptance Of Offer

It is mutually understood that the offer of "Strategic Partnership in Online Sales Collaboration" by SV-Gerald International Pte Ltd [herein called the Company], constitutes a binding acceptance by the Strategic Partner [herein called the Supplier] and/or the signatory of the offer by the Company and/or its authorized agents to host and broadcast the information so placed herein and are subjected to the Company's Acceptable Use Policy, Privacy Policy, Terms and Conditions Of Service stated herein.

The Supplier further agreed to receive email notifications/messages from SV-Gerald International Pte Ltd and it's subsidiary, any announcement, newsletters, products and services updates and that the Supplier agreed that such notifications, announcement, newsletters, products and services updates shall not be considered as UCE or SPAM.

  1. Payment

The Supplier undertakes that he or she has full authority to contract for the offer and/or subscription order published within the Company and/or its subsidiaries websites. The Supplier further guarantees full payment of amount shown promptly when due. The Company reserves the rights to temporary suspend or terminate the services if the Supplier is found to have defaulted in any payment by more than seven (7) days. In the event that the Company exercises its right to suspend or terminate the service/s for the aforesaid reason, the Company shall not be liable to the Supplier for any loss or damage whatsoever, which the Supplier may sustain from such suspension or termination of service. Also in the event of such suspension or termination, the Supplier shall not be entitled to any refund or compensation. Such accrued charges, plus reasonable interest and any collection fees is still deemed due and payable by the Supplier.

  1. New Supplier Account

All new supplier account involving the publishing of its products/services and/or its contents will be posted to the respective category, which the Company deem appropriate. However, due to unforeseen complications at times such as insufficient information from the Supplier, this process may sometimes require more time.

  1. Interruption Of Service

Supplier acknowledges that the service provided is of such a nature that service can be interrupted for many reasons other than the negligence of the Company and that damages resulting from any interruption of service are difficult to ascertain. Therefore, Supplier agrees that the Company shall not be liable for any damages arising from such causes beyond the direct and exclusive control of the Company. Supplier further acknowledges that the Company's liability for its own negligence may not, in any event, exceed an amount equivalent to charges payable by Supplier for services during the period the damages occurred. In no event shall the company be liable for any special or consequential damages, loss or injury.

  1. Termination / Renewal

This Strategic Partnership in Online Collaboration agreement with the exception of clause 2 shall be terminated upon either party giving to the other, thirty (30) days, advance notice in writing of the intended termination. Also, with the exception of clause 2, this agreement shall be legally binding for a period of 12 consecutive months. During the legally binding period of this agreement, the Supplier may request for termination of participation by giving the Company 30 days notice in writing, in such an event, the Supplier agreed that there shall be no refund of any fee/s paid to the Company for such participation.

  1. Supplier Responsibilities

The Supplier shall throughout the duration of this agreement, agreed to:

  • Promptly supply in good working condition its products, goods and/or merchandise as shown in the catalogue and or advertising materials given to Company for its online publication.

  • Provide prompt and reasonable good services to the Company and/or its customer/s.

  • Promptly inform the Company in the event of any changes to the Supplier's information, such as products discontinuation, products out-of-stock and any other information relevant to the provision of service/s to the Company as the case may be.

  • Ensure the information offered to the Company for its online publication, are not infringement of any copyrights/trademarks.

  • Indemnify and keep indemnifying the Company for all claims such as libel, slander or infringement of copyrights/trademarks and etc., arising from any materials transmitted or received in connection with the respect of such claim. In no event shall the Company be liable for any special or consequential damages, loss or injury.

  1. SV-Gerald International Pte Ltd Rights

The Company shall not be liable to:

  • The Supplier and/or to any third party claiming from or through the Supplier for any damages or losses caused by the termination, suspension, loss and/or interruption of service.

  • All claims for libel, slander or infringement of copyrights/trademarks arising from the materials transmitted or received in connection with the respect of such claim.

  1. SV-Gerald International Pte Ltd shall provide the following services to the Supplier:

  1. Free - 12 months managed virtual hosting - with 200 MB web & email space & 24x7 telephone support.

    1. Additional storage space is chargeable at S$50.00 per block of 100MB.

  2. Free - up to 6 A4 size standard static web pages, background design to be chosen from SV-Gerald templates provided by our company. Any additional web pages is chargeable at S$50.00 per A4 size web page.

  3. Free - insertion of Meta Tags & visitor counter.

  4. Free - edit, delete, add and/or change of texts [up-to 150 words, English text only] including a maximum of 5 product images or text images [eg Chinese or any foreign language text] per month.

    1. Additional English text edition/addition [excluding the free up-to 150 words per month] is chargeable at S$10.00 per block of 50 words.

    2. Additional product or text images [excluding the free 5 product/text images per month] are chargeable at S$15.00 per image.

  5. Free - 1 A4 size webpage [available to supplier who does not request for any amendment to their website within any 2 calendar month].

  6. Free - regular posting of client's website to major search engines and directories.

  7. Free - 12 months listing [with internal banner] in TradeLink Singapore - The Premier One-stop Business & Consumer Search Directory.

  8. Free - 3 months Banner in relevant category @ TradeLink Singapore - The Premier One-stop Business & Consumer Search Directory.

  9. Help Supplier to sell its services and products @ eSalesHub.Com portal in return for a pre-arrange commission schedule provided by the Supplier.

  1. Variation

The Company reserves the rights to amend the terms and conditions herein and/or the specific terms and conditions at any time and the Supplier shall be bound by the terms and conditions so amended. Notice of the amendment shall be published at the website of SV-Gerald International Pte Ltd. The Supplier shall not transfer or assign this Agreement without the prior written consent of the Company. The Company reserves the rights to assign this Agreement at anytime without consent from or notice to Supplier.

  1. Acknowledgement And Acceptance

The Supplier hereby acknowledged, accepted and declared that no promised representation warranty or undertaking whether oral or in writing, has been given by/or on behalf of the Company than in stated agreement herein contained.
